Terms and Conditions

These Terms and Conditions ("Terms") are an agreement between you and PLAYBOOK APPLICATION W.L.L. ("PLAYBOOK", "we", "us" or "our"), with its principal place of business at Flat/Shop 301, Building 114, Road 385, Block 304, Manama Center, Manama, Kingdom of Bahrain.

1. About these Terms

These Terms and Conditions ("Terms") are an agreement between you and PLAYBOOK APPLICATION W.L.L. ("PLAYBOOK", "we", "us" or "our"), with its principal place of business at Flat/Shop 301, Building 114, Road 385, Block 304, Manama Center, Manama, Kingdom of Bahrain.

These Terms govern your use of the PLAYBOOK mobile application, PLAYBOOK web services, Layla, our events, content and related services (together, the "Service").

By creating an account, purchasing a membership or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility and membership

PLAYBOOK is a private membership network intended for adults aged 18 and over. You must provide accurate information when creating or maintaining an account and must be legally able to enter into these Terms.

Where membership is subject to application, invitation, eligibility requirements or capacity, PLAYBOOK may accept or decline an application and may manage access to the network, subject to applicable law.

Membership is personal to you unless PLAYBOOK expressly agrees otherwise. You may not sell, transfer, lend or share your membership or account credentials with another person.

3. Your account

You are responsible for keeping your login credentials secure and for activity you authorize through your account.

If you believe your account has been accessed without permission, you must notify PLAYBOOK promptly. We may require identity or account verification where reasonably necessary to protect members, restore access, prevent fraud or comply with law.

4. Memberships, payments and renewals

4.1 Membership tiers and pricing

Available membership tiers, benefits, duration and pricing are shown at the point of purchase. Benefits may vary by membership tier, campaign, eligibility or geography.

4.2 Payment methods

Depending on the product, platform and purchase channel, payments may be processed through Apple In-App Purchase, Google Play Billing, Stripe, bank transfer, invoice or another payment method made available by PLAYBOOK.

Third-party payment providers process payments under their own terms and privacy practices. PLAYBOOK does not store full payment-card details entered directly with a payment provider.

4.3 Automatic renewal

Where a membership is sold as automatically renewing, it will renew for the period and price disclosed at the point of purchase unless you cancel before the renewal takes effect. Any renewal notices required by applicable law or the relevant app store will be provided.

4.4 Cancellation

You may cancel a recurring membership at any time. Cancellation normally takes effect at the end of the current paid period, and access continues until that period ends.

If you purchased through Apple or Google, you must manage and cancel the subscription through the relevant store account. Deleting the PLAYBOOK app or deleting your PLAYBOOK account does not automatically cancel a store-managed subscription.

4.5 Refunds

Membership and digital-service fees are non-refundable except where required by applicable law, where a specific offer states otherwise, or where PLAYBOOK agrees to a refund.

Purchases made through Apple or Google are also subject to the relevant store's billing and refund process.

4.6 Price changes

PLAYBOOK may change pricing for future purchases or renewals. Where required, we will provide advance notice before a new price applies to an existing recurring membership.

5. Events, workshops and paid activations

Events, workshops, gala events, mentor sessions, judging opportunities, pitching opportunities, booths and other paid activities may be sold separately and may have additional terms shown at the point of purchase.

Event programs, speakers, venues, timings and formats may change for operational, safety or other reasonable reasons. Where a material change affects a paid entitlement, PLAYBOOK will provide any remedy required by applicable law or the specific event terms.

You must follow venue rules, safety instructions and reasonable directions from PLAYBOOK, venue staff and event partners. PLAYBOOK may refuse or end attendance where conduct creates a safety, legal, harassment, disruption or security risk.

Photography, filming or recording may take place at certain events. PLAYBOOK will provide appropriate notice and will handle use of identifiable images in accordance with applicable law and our Privacy Policy.

6. What PLAYBOOK provides

PLAYBOOK provides access to a professional membership network, learning content, masterclasses, events, workshops, mentorship, community spaces, opportunities, introductions, matching and AI-assisted features.

The Service is designed to help members discover people, information, learning and opportunities. PLAYBOOK does not guarantee a particular introduction, job, promotion, investment, funding round, business outcome, return, partnership, mentor relationship or other result.

7. No professional, financial or investment advice

PLAYBOOK is not a financial adviser, investment adviser, broker, dealer, law firm, accounting firm, medical provider or tax adviser.

Content, events, member discussions, mentorship, introductions, opportunities, matching results and Layla outputs are provided for general information, education, networking and discovery.

Nothing on the Service is an offer, recommendation or solicitation by PLAYBOOK to buy, sell or hold an investment or financial product. Any investment or business decision carries risk, including the possible loss of capital.

Before making a financial, investment, legal, tax, medical or other high-impact decision, you should obtain advice from an appropriately qualified professional and conduct your own due diligence.

8. Layla

Layla is an AI-assisted feature. Its responses are generated automatically and may be inaccurate, incomplete, inconsistent or out of date.

You must not rely on Layla as a substitute for professional financial, investment, legal, tax, accounting, medical or other regulated advice, or as the sole basis for a high-impact decision.

Do not provide passwords, payment-card details, bank credentials, government identification numbers or other information that is not necessary for your request.

PLAYBOOK may update the models, providers, safeguards, data sources and capabilities used to operate Layla. We do not guarantee that Layla will always be available or that the same question will always produce the same response.

Our Privacy Policy explains how information used with Layla is processed and retained.

9. Matching, recommendations and introductions

PLAYBOOK may use your profile, preferences and activity to recommend or rank members, mentors, events, learning content, opportunities and potential introductions.

Recommendations and matches are discovery tools only. They are not endorsements, due diligence, verification or guarantees of compatibility, suitability, availability or outcome.

You are responsible for verifying information and conducting appropriate due diligence before entering into any relationship, transaction, mentorship, investment, employment, partnership or other arrangement.

PLAYBOOK is not a party to agreements, investments, employment arrangements, mentoring relationships, commercial transactions or other dealings formed between members unless PLAYBOOK expressly agrees otherwise in writing.

10. Mentors, experts, speakers, investors and partners

Mentors, experts, speakers, investors, founders, employers, partners and other participants may express their own views.

Unless expressly stated otherwise, they are not employees, agents or representatives of PLAYBOOK, and their statements do not represent PLAYBOOK.

PLAYBOOK may curate or invite participants, but this does not amount to a professional endorsement, licensing verification, background check or guarantee of their advice, conduct, performance, availability or suitability.

11. Community standards and member conduct

PLAYBOOK is designed as a trusted private network. You agree that you will not:

  • misrepresent your identity, role, company, qualifications, experience, investment status or authority;
  • harass, bully, threaten, intimidate, stalk or discriminate against another person;
  • post or send unlawful, abusive, hateful, defamatory, fraudulent, obscene or deliberately deceptive content;
  • spam members or use the network primarily for unsolicited selling, mass outreach or lead harvesting;
  • solicit investments, funds or financial products in breach of applicable securities, financial-promotion, licensing or other rules;
  • copy, screenshot, record, publish, forward or disclose another member's private information, messages, contact details or non-public content outside PLAYBOOK without permission;
  • scrape, crawl, harvest, extract, index or compile member information or content by automated means without PLAYBOOK's written authorization;
  • use member information obtained through PLAYBOOK to create an external contact database, marketing list or competing community;
  • use the Service or its content to train, benchmark or build a competing AI system, model, platform or product without PLAYBOOK's written permission;
  • attempt to bypass security, access controls, rate limits, payment controls or membership restrictions;
  • impersonate another person or facilitate unauthorized account access;
  • infringe intellectual-property, confidentiality, privacy or publicity rights;
  • use the Service for unlawful activity or to facilitate harm.

PLAYBOOK may investigate reports, restrict features, remove content, suspend accounts or end memberships where reasonably necessary to protect members, the Service or PLAYBOOK, subject to applicable law.

11.1 Zero tolerance, reporting, blocking and moderation

PLAYBOOK has zero tolerance for objectionable content and abusive behavior. Content or conduct that violates these Terms, threatens member safety, facilitates harassment or abuse, or is otherwise unlawful or inappropriate for the PLAYBOOK community may be removed and may result in restrictions, suspension or termination of the relevant account.

Users can report objectionable content, inappropriate conduct or another member through the reporting tools provided in the Service. PLAYBOOK will review reports and take appropriate action within a reasonable timeframe, taking account of the seriousness and urgency of the issue.

Users can block other members using the blocking controls provided in the Service. Blocking is intended to prevent unwanted direct interaction between the relevant users within the features where blocking applies.

PLAYBOOK may use automated tools, technical controls and human review to detect, filter, restrict or remove objectionable material and to enforce these Terms and our community standards.

12. Confidentiality of the private network

Members may share candid professional, commercial and personal information through PLAYBOOK. Unless information is clearly intended for public distribution, you should treat non-public member communications, closed sessions, private introductions, mentorship discussions and member-only materials as confidential to the relevant participants.

You may not use another member's private information for an unrelated commercial purpose, publish it outside the Service, or provide it to a third party without permission or another lawful basis.

This section does not prevent you from reporting unlawful conduct, seeking professional advice, exercising legal rights or making disclosures required by law.

13. Your content

You retain ownership of content you submit, upload, post, share or otherwise make available through the Service, including profile content, photographs, videos, posts, comments, testimonials, reviews, quotes, event contributions and other member-generated content ("Your Content").

By accepting these Terms and submitting Your Content to PLAYBOOK, you grant PLAYBOOK a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, store, reproduce, copy, edit, crop, format, adapt, publish, display, distribute and otherwise use Your Content for the purposes described in this section, to the extent permitted by applicable law.

This licence includes the right to use Your Content, including your name, image, likeness, photograph, video, quote, testimonial, profile information and community contributions, in PLAYBOOK's external marketing and communications. This may include PLAYBOOK websites, social media, email campaigns, presentations, press and media materials, advertisements, event promotion, community campaigns, case studies, reports, partner materials and other promotional channels.

PLAYBOOK may also use Your Content and your interactions with the Service internally to generate insights, understand member needs and engagement, conduct analytics and research, improve existing products and features, develop new products and features, improve recommendations and matching, evaluate community programming and improve the overall PLAYBOOK member experience. Where reasonably possible, internal analysis may use aggregated or de-identified information.

PLAYBOOK may edit, crop, shorten or reformat Your Content for these purposes, provided that we do not materially misrepresent what you said, your views or your experience.

This permission does not transfer ownership of Your Content to PLAYBOOK and does not allow PLAYBOOK to sell Your Content as a standalone product. If Your Content includes another person's image, words or personal information, you must have the right to share it and to grant the permissions described in these Terms.

If you ask PLAYBOOK to stop using a specific item of Your Content for future external marketing, we will take reasonable steps to stop new promotional use where practicable. This may not require us to withdraw materials that have already been published, printed, distributed or incorporated into completed campaigns, reports or archives, unless applicable law requires otherwise.

The licence continues for as long as necessary for the uses described above, including for materials already created or published before content or account deletion. For operational uses of content inside the Service, deletion and retention are handled in accordance with our Privacy Policy and applicable law.

You confirm that you have the necessary rights to submit Your Content and to grant this licence, and that Your Content does not infringe another person's intellectual property, privacy, confidentiality, publicity or other rights, or applicable law.

14. PLAYBOOK content, software and brand

PLAYBOOK and its licensors own the Service, applications, software, platform design, Layla experience, learning content, recordings, materials, trademarks, logos and other intellectual property, except for content owned by users or third parties.

Subject to these Terms and your membership status, PLAYBOOK grants you a limited, personal, non-exclusive, non-transferable and revocable licence to use the Service for your own lawful use.

You may not copy, reproduce, resell, sublicense, redistribute, publicly perform, republish or commercially exploit PLAYBOOK content except where PLAYBOOK expressly permits it.

15. Feedback

If you voluntarily provide suggestions or feedback about the Service, PLAYBOOK may use that feedback to improve or develop the Service without payment to you. This does not transfer ownership of your underlying personal data or confidential information.

16. Third-party services

The Service may depend on or link to services provided by Apple, Google, WhatsApp, payment providers, cloud providers and other third parties.

Their services may be governed by their own terms and privacy policies. PLAYBOOK is not responsible for third-party products, services, content or independent processing that is outside our reasonable control, except where responsibility cannot legally be excluded.

17. Suspension and termination

17.1 Ending your membership

You may stop using the Service at any time and may request deletion of your account through the app or by contacting PLAYBOOK.

Account deletion and subscription cancellation are separate. If your recurring membership is managed by Apple or Google, you must also cancel it through the relevant store account.

17.2 Suspension or termination by PLAYBOOK

PLAYBOOK may suspend, restrict or end access where reasonably necessary because of a material breach of these Terms, non-payment, fraud, abuse, harassment, unlawful activity, confidentiality or privacy violations, scraping, unauthorized commercial solicitation, security risk, legal requirement or conduct that materially harms the Service or other members.

Where practical and appropriate, PLAYBOOK may provide notice or an opportunity to address the issue. We may act immediately where necessary for safety, security, legal compliance or to prevent ongoing harm.

17.3 Effect of termination

When access ends, your right to use the Service ends. Provisions that by their nature should continue, including confidentiality, intellectual property, disclaimers, liability limitations, payment obligations and dispute provisions, continue after termination.

Our Privacy Policy explains how personal data is handled after account closure.

18. Availability and changes to the Service

PLAYBOOK aims to provide a reliable Service but does not guarantee uninterrupted or error-free availability.

PLAYBOOK may maintain, update, replace, suspend or discontinue features, models, integrations, content or services.

If a change materially reduces a paid entitlement during an active paid period, PLAYBOOK will provide any notice, cancellation right, refund or other remedy required by applicable law or the specific purchase terms.

19. Disclaimers

To the fullest extent permitted by law, the Service is provided on an "as is" and "as available" basis.

PLAYBOOK does not guarantee the accuracy, completeness, suitability, availability, reliability or outcome of member content, third-party information, recommendations, opportunities, mentorship, introductions, event content or Layla outputs.

20. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by applicable law, PLAYBOOK is not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, opportunity, goodwill or anticipated savings arising from use of the Service.

To the fullest extent permitted by law, PLAYBOOK is not responsible for investment or commercial losses resulting from decisions you make based on content, Layla, mentorship, recommendations, opportunities or introductions, or for the independent acts, omissions, statements or conduct of another member, mentor, speaker, partner or third party.

Where PLAYBOOK is liable and the law permits a contractual cap, PLAYBOOK's total liability to you arising from the Service during any 12-month period will not exceed the amount you paid directly to PLAYBOOK for the relevant Service during that period.

21. Indemnity

To the extent permitted by law, you agree to indemnify PLAYBOOK against third-party claims, losses, liabilities and reasonable costs arising from your unlawful use of the Service, your material breach of these Terms, your infringement of another person's rights, or content you submit, except to the extent a claim results from PLAYBOOK's own unlawful conduct or liability that cannot legally be excluded.

22. Privacy

Our Privacy Policy explains how PLAYBOOK collects, uses, shares, retains and protects personal data, including information used for Layla, matching, analytics, payments and account administration.

23. Changes to these Terms

PLAYBOOK may update these Terms to reflect changes in the Service, law, pricing, risk or operating model.

We will update the effective date when the Terms change. If a change materially affects your rights or an active paid membership, PLAYBOOK will provide notice where required by applicable law.

Continued use of the Service after updated Terms take effect constitutes acceptance to the extent permitted by law.

24. Governing law and disputes

These Terms are governed by the laws of the Kingdom of Bahrain.

The courts of the Kingdom of Bahrain have jurisdiction over disputes arising from these Terms, to the extent permitted by applicable law.

Nothing in these Terms removes any mandatory consumer, privacy or other legal rights that apply to you in the country where you live.

Before starting formal proceedings, we encourage you to contact PLAYBOOK so we can try to resolve the matter directly.

25. General

If any part of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

If PLAYBOOK does not enforce a right immediately, this does not mean that right has been waived.

You may not transfer your rights under these Terms without PLAYBOOK's permission. PLAYBOOK may transfer its rights and obligations as part of a corporate reorganization, financing, merger, acquisition or sale, subject to applicable law.

These Terms, the Privacy Policy and any specific purchase or event terms presented to you form the agreement between you and PLAYBOOK for the relevant Service.

26. Apple App Store terms

If you download or use the PLAYBOOK app through the Apple App Store:

The community and user-generated-content provisions in these Terms, including the reporting, blocking and moderation rules in Section 11, apply to your use of the iOS app.

  1. These Terms are between you and PLAYBOOK, not Apple. PLAYBOOK, not Apple, is responsible for the app and its content.
  2. Your licence to use the app is limited to a non-transferable licence to use it on Apple-branded products you own or control as permitted by Apple's applicable usage rules.
  3. Apple has no obligation to provide maintenance or support for the PLAYBOOK app.
  4. If the app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price of the app, if any, in accordance with Apple's rules. To the maximum extent permitted by law, Apple has no other warranty obligation for the app.
  5. PLAYBOOK, not Apple, is responsible for addressing claims relating to the app, including product-liability, regulatory and consumer-protection claims, to the extent required by law.
  6. PLAYBOOK, not Apple, is responsible for investigating, defending and resolving intellectual-property infringement claims relating to the app.
  7. You must comply with applicable third-party terms when using the app.
  8. You represent that you are not located in a country or region subject to a U.S. Government embargo or designated by the U.S. Government as supporting terrorism, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  9. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable Apple provisions against you.

27. Google Play terms

If you download or use the PLAYBOOK app through Google Play, your use of Google Play is also subject to Google's applicable terms.

Google is not responsible for PLAYBOOK's Service, member relationships, content or independent contractual obligations to you except as required under Google's own terms or applicable law.

Purchases processed by Google are subject to Google's billing, cancellation and refund processes.
